Welcome to SoftGen. These Terms & Conditions ("Terms") govern your access to and use of https://softgen.lk, our products, software, applications, digital platforms, and professional services.

By accessing or using our website or services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree with these Terms, you must discontinue use of our website and services immediately.

1. About SoftGen

SoftGen is a software development company providing digital solutions including, but not limited to:

  • Custom Software Development
  • Web Application Development
  • Mobile Application Development
  • UI/UX Design
  • Cloud Solutions
  • AI & Automation Solutions
  • SaaS Products
  • System Integration
  • IT Consulting
  • Maintenance & Support Services

2. Eligibility

You must be at least 18 years of age or possess legal authority to enter into binding agreements to use our services. By using our website, you represent and warrant that you satisfy these requirements.

3. Acceptance of Services

Submitting an inquiry, requesting a quotation, signing a proposal, making a payment, or using any SoftGen service constitutes acceptance of these Terms. Separate project agreements or Statements of Work (SOW) will take precedence where applicable.

4. Quotes, Estimates & Proposals

Unless otherwise stated:

  • All quotations are estimates.
  • Prices may change before formal project acceptance.
  • Project scope determines the final cost.
  • Additional features requested after project approval may incur additional charges.
  • Timelines are estimates and may change due to client delays, scope changes, third-party dependencies, or unforeseen technical issues.

5. Payments

Payment schedules are defined in project agreements or invoices.

Unless otherwise agreed:

  • Deposits are required before work begins.
  • Milestone payments must be completed before subsequent development phases commence.
  • Final deliverables may be withheld until all outstanding invoices have been paid.
  • Late payments may delay project timelines.
  • SoftGen reserves the right to suspend work on overdue accounts.

All applicable taxes remain the responsibility of the client unless otherwise specified.

6. Client Responsibilities

Clients agree to:

  • Provide accurate project information.
  • Respond to requests within a reasonable timeframe.
  • Supply necessary content, branding assets, and credentials.
  • Obtain licenses for third-party materials they provide.
  • Review deliverables promptly.
  • Avoid unlawful or abusive use of our services.

Delays caused by the client may result in revised delivery schedules.

7. Intellectual Property

Unless otherwise agreed in writing:

  • SoftGen retains ownership of its proprietary frameworks, internal tools, reusable libraries, methodologies, templates, automation systems, and development utilities.
  • Ownership of custom-developed project deliverables transfers to the client only after full payment has been received, except for components expressly licensed by SoftGen or third parties.
  • Open-source software remains subject to its respective licenses.

SoftGen may retain the right to reuse generic, non-confidential techniques, experience, and know-how acquired during the project.

8. Portfolio Rights

Unless restricted by a written confidentiality agreement or the client expressly objects in writing, SoftGen may display completed projects, company names, logos, screenshots, and general project descriptions in its portfolio, marketing materials, or case studies. Confidential information will never be disclosed without authorization.

9. Confidentiality

Both parties agree to protect confidential information exchanged during the course of a project.

Confidential information includes, but is not limited to:

  • Business strategies & Financial info
  • Source code & API keys
  • Credentials & Authentication keys
  • Technical documentation
  • Customer data & Product roadmaps

Confidential obligations continue after project completion unless otherwise agreed.

10. Third-Party Services

Projects may rely upon third-party providers including cloud hosting, payment gateways, email services, domain registrars, SSL providers, APIs, AI systems, and analytics platforms.

SoftGen is not responsible for service interruptions, pricing changes, security incidents, or operational decisions made by third-party providers.

11. Artificial Intelligence Services

Where AI-powered features are provided:

  • AI-generated content may contain inaccuracies.
  • Clients are responsible for reviewing outputs before production use.
  • AI services should not be relied upon as legal, financial, or medical advice.
  • SoftGen may update AI capabilities without prior notice.

12. Acceptable Use

You agree not to:

  • Violate any applicable laws
  • Upload malicious software
  • Attempt unauthorized access
  • Disrupt our infrastructure
  • Reverse engineer proprietary systems
  • Abuse APIs or automated systems
  • Infringe intellectual property rights
  • Transmit spam or harmful content

SoftGen reserves the right to suspend or terminate access for violations.

13. Availability

We aim to maintain uninterrupted service but do not guarantee continuous availability. Maintenance, upgrades, network failures, cyber incidents, or events beyond our control may temporarily affect service availability.

14. Warranties

Unless explicitly stated in writing, all services are provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, SoftGen disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

15. Limitation of Liability

To the maximum extent permitted by law, SoftGen shall not be liable for:

  • Loss of profits & business interruption
  • Data loss & indirect damages
  • Incidental, consequential or special damages

Our aggregate liability relating to any project or service shall not exceed the total amount actually paid by the client for the relevant service, except where such limitation is prohibited by applicable law.

16. Force Majeure

SoftGen shall not be liable for delays or failures resulting from circumstances beyond reasonable control, including natural disasters, acts of government, war, terrorism, labor disputes, cyberattacks, internet outages, pandemics, or failures of third-party infrastructure.

17. Termination

Either party may terminate a project or service in accordance with the applicable agreement.

Upon termination:

  • Outstanding invoices and completed work remain payable.
  • Intellectual property ownership is governed by Section 7.
  • Confidentiality obligations survive termination where applicable.

18. Indemnification

You agree to indemnify and hold harmless SoftGen, its directors, employees, contractors, and affiliates from claims, liabilities, losses, damages, costs, and expenses arising from your misuse of the website or services, violation of these Terms, or infringement of third-party rights.

19. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Democratic Socialist Republic of Sri Lanka, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Sri Lanka unless otherwise agreed in writing.

20. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

21. Changes to These Terms

SoftGen reserves the right to update or modify these Terms at any time. Updated versions will be published on this page with the revised "Last Updated" date.

Continued use of the website or services after changes become effective constitutes acceptance of the revised Terms.
